Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a legally binding agreement between you (the “Customer”) and Techno Believe Solutions Ltd, a company registered in England and Wales (company number 10866509) with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom (“Kompense”, “we”, “us”).

By creating an account or using the Service you accept these Terms and our Privacy Policy. If you don't agree, don't use the Service.

2. The Service

Kompense is a SaaS competitive intelligence platform that monitors competitors' websites, pricing, advertising, content, and reviews, surfaces changes, and uses AI to summarise insights. We may add, modify, or remove features over time. We'll give you reasonable notice of material changes that adversely affect features you rely on.

3. Your account

You must be at least 18 and have authority to bind your organisation. You're responsible for keeping your credentials confidential and for all activity on your account. Notify us immediately at security@kompense.com if you suspect unauthorised use.

You may invite team members up to your plan's seat limit. The Customer is responsible for the actions of all users on the account.

4. Subscription plans & pricing

We offer the following subscription tiers (current pricing at kompense.com/pricing):

  • Free: limited features, no charge
  • Starter: $79/month or $59/month billed annually
  • Professional: $199/month or $159/month billed annually
  • Business: $399/month or $299/month billed annually
  • Enterprise: custom pricing on request

Prices are exclusive of VAT and other applicable taxes. Where required, we collect VAT via Stripe Tax based on your billing address.

5. Payment terms

Processor: all payments are processed by Stripe Payments UK Ltd. By subscribing you authorise us to charge your chosen payment method via Stripe.

Billing cycle: subscriptions auto-renew at the end of each billing period (monthly or annually as you chose) until you cancel. We'll send a renewal reminder 7 days before annual renewals.

Failed payments: if a charge fails, we'll retry per Stripe's smart-retry schedule (typically 3, 5, and 7 days). After 14 days of failed payment we may suspend the account. We never charge late fees.

Plan changes: upgrading takes effect immediately and we charge a prorated amount for the rest of the period. Downgrading takes effect at the next billing cycle (we don't refund partial periods on downgrades).

Currency: all prices are in USD ($). Stripe handles currency conversion at its published exchange rate when your card's currency differs.

6. Cancellation & refunds

You can cancel any time from Dashboard → Settings → Billing → Manage subscription(which opens the Stripe Customer Portal). Cancellation takes effect at the end of your current billing period — you keep access until then.

No refunds for partial periods. We don't refund unused time on a cancelled or downgraded subscription. We make exceptions at our discretion (e.g. accidental double-charges, prolonged service outage, regulatory requirements).

Consumer 14-day right to cancel (UK/EU): if you're a consumer (not a business) in the UK or EU, you have the right to cancel within 14 days of purchase for a full refund — but by starting to use the Service in that period, you agree we may reduce the refund pro-rata for the days you used the Service.

7. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or to infringe others' rights
  • Reverse-engineer, decompile, or extract source code from the Service
  • Resell, sublicense, or white-label the Service without written permission
  • Attempt to circumvent rate limits, security controls, or licensing checks
  • Upload viruses, malicious code, or content that violates third-party rights
  • Use the Service to harass, defame, or harm others
  • Use automated tools to scrape Kompense itself in ways that disrupt service for others

Breach of acceptable use may result in immediate suspension or termination without refund.

8. Fair use & rate limits

Each plan has stated limits on competitors tracked, AI queries, team seats, and other resources. We monitor usage and may rate-limit or pause queries that exceed plan limits. If you need higher limits, upgrade or contact sales@kompense.com.

9. Your data

You own your content. The data you upload, the watch lists you create, and the custom prompts you write remain your property. We use them only to provide the Service and as described in our Privacy Policy.

You can export your data any time via the data-export tool. After cancellation we keep your data for 30 days (in case you reactivate), then delete it. Billing records are retained 7 years for HMRC tax compliance.

10. Intellectual property

Kompense and all original content, software, and designs are owned by Techno Believe Solutions Ltd and protected by international copyright, trademark, and trade-secret laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business during your active subscription period. All rights not expressly granted are reserved.

11. Third-party services

The Service integrates with third parties (Stripe for payments, Google AI for inference, Resend for email, Supabase for database, Vercel for hosting, and others — see /sub-processors). Your use of these is also governed by their own terms. We're not responsible for downtime or issues caused by third-party providers, but we'll work in good faith to mitigate impact.

12. AI-generated content disclaimer

Kompense uses AI to generate insights, summaries, and recommendations from public data. AI output may be inaccurate, incomplete, or outdated. It is informational only and not a substitute for professional advice. Verify any material business decision against primary sources. We make no warranty as to the accuracy of AI-generated content.

13. Service availability

We aim for high availability but provide the Service “as is” with no formal uptime SLA on the standard plans. Enterprise customers may negotiate a written SLA. We perform planned maintenance outside UK business hours where possible and will communicate scheduled downtime in advance.

14. Disclaimer of warranties

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER ENGLISH LAW (INCLUDING DEATH, PERSONAL INJURY, FRAUD, OR FRAUDULENT MISREPRESENTATION).

16. Indemnification

You agree to indemnify and hold us harmless from any third-party claim arising out of (a) your breach of these Terms, (b) your misuse of the Service, or (c) your violation of any law or third-party right.

17. Termination

We may suspend or terminate your account immediately if you breach these Terms, engage in fraud, or if continued service would violate law. We may also discontinue the Service entirely with at least 30 days' notice (in which case we'll prorate-refund any prepaid annual fees). On termination your license ends; sections 9, 10, 14, 15, 16, 18 survive.

18. Governing law & disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that consumers may bring claims in their country of residence. Before legal action, both parties agree to attempt good-faith resolution by writing to the other.

19. Changes to these Terms

We may update these Terms. For material changes affecting your rights or obligations, we'll notify you at least 30 days in advance by email or in-app banner. Continued use of the Service after the effective date counts as acceptance. If you don't accept the changes, you may cancel before they take effect for a prorated refund of unused time.
